Supreme Court Strengthens IBC Resolution Plans
SUPREME COURT STRENGTHENS FINALITY OF INSOLVENCY RESOLUTION PLANS
WHY IN THE NEWS ?
- Judicial Ruling: The Supreme Court ruled that lenders cannot withdraw an approved insolvency resolution plan merely because a company’s financial position improves.
- Insolvency Certainty: The decision upholds the finality of approved resolution plans under the Insolvency and Bankruptcy Code (IBC), 2016, strengthening investor confidence and preventing creditors from reopening concluded decisions for better recoveries.
SUPREME COURT RULING AND TD TOLL ROAD CASE:
- Case Background: The Supreme Court bench of Justices J.B. Pardiwala and K. Vinod Chandran upheld the National Company Law Tribunal’s (NCLT) decision rejecting lenders’ attempt to withdraw the resolution plan for TD Toll Road, a subsidiary of Reliance Infrastructure Ltd.
- Financial Distress: TD Toll Road’s financial position deteriorated during the COVID-19 pandemic, following which a resolution plan worth ₹172.55 crore was approved.
- Creditors’ Demand: The Committee of Creditors (CoC), comprising six lenders, including Bank of India, Canara Bank and Punjab National Bank, sought fresh bids to obtain better financial recoveries.
- Improved Position: The lenders argued that the company’s cash balance had increased to approximately ₹165 crore by the time the litigation concluded, making the existing resolution plan less attractive.
- Court’s Decision: The Supreme Court rejected this argument, holding that improved profitability alone cannot justify withdrawing an approved plan that satisfies statutory requirements.
IMPLICATIONS FOR INSOLVENCY RESOLUTION AND STAKEHOLDERS
- Plan Finality: The Court clarified that withdrawal is permissible before the CoC approves a resolution plan; once the plan is approved and placed before the adjudicating authority, it cannot simply be withdrawn on grounds of improved commercial prospects.
- Investor Confidence: The ruling provides certainty to resolution applicants who commit capital and furnish bank guarantees while awaiting regulatory and judicial approvals.
- Creditor Accountability: The CoC’s commercial wisdom does not grant it unlimited authority to reconsider its own approved decisions.
- Fair Competition: The judgment discourages creditors from reopening concluded bidding processes merely to seek higher recoveries, thereby protecting the interests of successful resolution applicants.
- Economic Significance: Greater certainty in insolvency proceedings can improve investment confidence, facilitate stressed-asset resolution and strengthen the overall credit ecosystem.
KEY POINTS : INSOLVENCY AND BANKRUPTCY CODE● Legislative Framework: The Insolvency and Bankruptcy Code, 2016, establishes a time-bound framework for resolving corporate insolvency and maximising asset value. ● Committee of Creditors: The CoC primarily comprises financial creditors and evaluates resolution plans based on commercial considerations. ● Adjudicating Authority: The National Company Law Tribunal (NCLT) adjudicates corporate insolvency matters under the IBC. ● Resolution Objective: The Code seeks to balance creditor recoveries, business continuity, asset-value maximisation and the interests of stakeholders. |
